1.1. These General Terms and Conditions apply exclusively to all services, offers and contracts of HAPPY Marketing Solutions AG (“HAPPY”), Frankfurter Str. 68, 63303 Dreieich, Germany, with its commercial customers.
1.2. In the event of deviating, conflicting or supplementary terms and conditions, the express written consent of HAPPY is required in order for them to be effective. This requirement for the written form can only be waived by written agreement. Other contractual terms and conditions, in particular, any terms and conditions of the customer, shall not become part of the contract, even if HAPPY does not expressly object to them and performs services without reservation.
1.3. HAPPY does not guarantee the effectiveness of the solutions sold for lead generation, competitions and promotions, hereinafter referred to as the Solution. If the expected result with respect to participants (number of participants, leads and recommendations, sales promotion, performance values on emails, etc.) does not occur, there is no entitlement to compensation and/or reimbursement or a reduction of the invoice.
2.1. Offers made by HAPPY are subject to change and are non-binding unless the offer is expressly designated as binding in writing. HAPPY reserves the right to make changes until the point the offer is accepted by the customer. Offers are also subject to these T&Cs.
2.2. The offer from HAPPY that is accepted by the customer is decisive for the scope, type and quality of the services. Other information is only binding if HAPPY has confirmed it as binding in writing.
2.3. As a result of unconditional acceptance of an offer by the customer, or an unconditional order by the customer, based on an offer from HAPPY, a preliminary contract shall be concluded between the customer and HAPPY. If the offer does not specify a deadline by which the offer must be accepted, the customer must accept the offer within two weeks of its receipt. Once these deadlines have passed, HAPPY shall no longer be bound by the offer.
2.4. All details of the subject matter and the regulations to be adhered to, particularly regarding the procedure and the assumption of risk of the offered Solution, will be specified in a main contract to be concluded thereafter between HAPPY and the customer.
2.5. HAPPY is entitled to withdraw from the offer if:
– there is a significant deterioration in the customer’s assets; or
– HAPPY subsequently becomes aware of a bad financial situation, and HAPPY’s claim is endangered as a result; or
– HAPPY is unable to cover the Solution, or is only able to cover it to a limited extent, due to the lack of a corresponding offer from the reinsurer; or
– regulation of the assumption of risk is not possible under the terms of the offer.
2.6. If, despite the acceptance of the offer by the customer, the main contract between HAPPY and the customer, which regulates, in particular, the risk management of the Solution, is not concluded due to the fault of the customer, HAPPY may terminate the preliminary contract resulting from the acceptance of the offer without notice after giving a reasonable warning period. Section 15.1. applies mutatis mutandis.
2.7. HAPPY shall provide the agreed services in accordance with the contract and with the utmost care. HAPPY’s compliance with contractually agreed deadlines and appointments requires the timely and proper fulfilment of all contractual obligations to cooperate on the part of the customer. Subsequent requests for changes from the customer shall interrupt the service deadlines and cause them to run afresh. The provisions in section 6 of these T&Cs apply in addition.
2.8. The contracting parties shall each appoint a project manager, who shall act as a contact person within the framework of the execution of the order. The contracting parties must notify each other immediately of any changes to the designated persons. Until receipt of such notification, the previously named contact persons shall be deemed entitled to make and receive declarations for the party to the contract in question.
2.9. Correspondence between the contracting parties is generally carried out electronically. The other contracting party reserves the right to prove that it has not made the declaration, or not with this content.
2.10. HAPPY is entitled to use third parties to provide the contractually agreed services, in whole or in part. HAPPY shall be liable for any fault on the part of its vicarious agents as it is for its own faults.
3.1. All rights to the contractual services of HAPPY, as well as to other concepts, materials, brands, etc., that are provided by HAPPY within the framework of initiation and implementation of the contract, belong exclusively to HAPPY in the relationship between the contractual partners. If any rights are held by third parties, HAPPY has the appropriate licence to use them.
3.2. The customer is entitled, after prior consultation with HAPPY, to use HAPPY’s name and logo in connection with the promotion and implementation of the competition.
3.3. In the same way, HAPPY may use the customer’s name and logo and any relevant brands for reference purposes. Publication and use for other PR purposes may only take place after consultation and with the consent of the customer or HAPPY, as the case may be.
3.4. The customer receives a non-exclusive, non-transferable, simple right of use to the services, documents, concepts, materials, brands, domains, etc., in order to use them in its company for its own purposes in accordance with the contractually granted scope.
3.5. The publication, distribution and passing on of the services, documents, materials, brands, domains, etc., is not permitted without the prior written consent of HAPPY.
3.6. The customer has no claim to the surrender of the source programs, the development documentation, or the other working materials of HAPPY.
4.1. Information provided regarding the time of performance is non-binding unless HAPPY has promised a date or a deadline as binding in writing. HAPPY will take account of the customer’s desired time of performance as much as possible. With regard to third-party services, HAPPY is only responsible for ensuring that the order is carried out properly. Partial services are permitted insofar as the parts provided can be meaningfully used in isolation.
4.2. Compliance with the set date or deadline presupposes that the customer fulfils its obligations to cooperate in good time and in full, and that it fulfils its payment and other obligations. If these conditions are not met, the dates or deadlines will be extended appropriately, but at least by the period of the delay plus a reasonable start-up time. This shall also apply if requirements on the part of the customer subsequently change.
4.3. Dates or deadlines shall be extended by the period (including a reasonable start-up period) during which HAPPY is prevented from performing the service due to circumstances for which HAPPY is not responsible (e.g., force majeure, staff absence or failure of technical facilities where HAPPY is not at fault, non-delivery by suppliers).
4.4 Insofar as delays are based on behaviour that is attributable to the customer, the customer is obliged to reimburse the resulting additional costs to HAPPY.
5.1. The customer may request changes to the contractually agreed scope of services from HAPPY in writing. HAPPY will comply with changes requested by the customer within the scope of its capabilities, unless this is unreasonable or impossible for HAPPY.
5.2. The execution of the services affected by the change request will be suspended until the necessary adjustment of the contractual agreement. If the necessary adjustment of the contractual agreement is not made, the work will be continued on the basis of the previous contract. The dates or deadlines shall be extended by the number of working days on which the work was suspended as a result of the change request or the review of the change request.
5.3. Changes that lead to a reduction in the contractually agreed service do not justify a reduction in the price. Changes that lead to an extension of the service will be re-costed, and the additional price must be compensated by the customer. Other changes that affect the content and implementation of the Solution will be charged at cost.
6.1. The Solution will be carried out by the customer in its own name. The customer shall bear all costs incurred in connection with the implementation of the Solution.
6.2. HAPPY assures that the Solutions it distributes are fundamentally permissible under German law and, in particular, do not constitute gambling that would require authorisation. Whether the Solution is specifically permissible for the customer or its industry is the responsibility of the customer.
6.3. HAPPY is responsible for the proper processing of the Solution within the framework of the statutory provisions, but not for the legal admissibility of a HAPPY Solution for the customer. The examination of the legal admissibility of the announcement and implementation of the Solution in the context of promotions run by the customer and compliance with the legal provisions are the responsibility of the customer. The corresponding review services are not owed by HAPPY. This also applies to all competition, patent, trademark, copyright and other legal aspects. This also includes the selection and design of the venues and compliance with official requirements and safety regulations, etc.
6.4. Insofar as HAPPY makes statements on legal issues, at the customer’s request, in connection with the staging of the Solution, these are to be understood as non-binding statements of HAPPY’s legal opinion. If HAPPY obtains legal advice on behalf of the customer, the law firm in question, but not HAPPY, shall be directly liable for the information provided.
6.5. HAPPY shall provide sample conditions of participation for the Solution that are tailored to the customer. HAPPY provides no guarantee of their correctness and completeness. The customer is responsible for having the conditions of participation legally reviewed. If the customer uses its own conditions of participation, they must fully comply with the legal requirements applicable to the Solution as well as the conditions and terms specified and communicated by HAPPY; they may not be changed. This includes, in particular, the general procedure for the Solution, the prerequisites for participation and for winning a prize, the registration of claims to prizes, and the existing restrictions on participation.
6.6. The customer must ensure that the applicable conditions of participation can be readily noted by potential participants in the Solution, that they are accepted in order for it to be possible to participate, and that precautions are taken to ensure that participation cannot be tampered with.
6.7. In the case of secured competitions, HAPPY shall indemnify the customer from and against claims for prizes on the part of the participants, provided that the customer carries out the Solution as contractually agreed and has accepted the terms and conditions of participation provided by HAPPY without changes.
6.8. The customer undertakes to indemnify HAPPY, its affiliated companies, managing directors, employees, vicarious agents and intermediaries against all claims asserted against Happy by third parties, in particular, participants, in connection with the implementation of the Solution with regard to sections 6.1. to 6.7. above, and to bear any costs incurred for legal defence if the conditions of participation provided by HAPPY are deviated from, and/or the competition is not announced and/or carried out in accordance with the contract.
6.9. HAPPY shall not check the customer’s advertising material to ensure the correctness of the factual statements made, nor shall it check the proper execution of the competition at the customer’s premises.
6.10. If the customer provides HAPPY with address data, image, sound or text data, or similar materials within the framework of executing the contract, or has these procured by HAPPY, the customer must make these available to HAPPY immediately and in a directly usable, if possible digital, format. If conversion of the material provided by the customer into another format is required, the customer shall bear the costs incurred for this. The customer shall ensure that HAPPY obtains the necessary rights to use these materials.
6.11. Data carriers or files that the customer makes available in order for the contract to be fulfilled must be flawless in terms of their contents and technology. If this is not the case, the customer shall compensate HAPPY for all damages arising from the use of these data carriers or files and shall indemnify HAPPY from and against all claims of third parties. The customer is responsible for proper data backup before and during the execution of the services by HAPPY. The customer shall retain copies of all documents, files and data carriers handed over or transmitted, which HAPPY can access free of charge at any time.
6.12. The customer shall ensure that all necessary acts of cooperation by the customer or its vicarious agents are carried out on time, to the necessary extent, and free of charge for HAPPY. The obligations of the customer to cooperate and its obligations to make items available are essential obligations on the part of the customer.
6.13. If the customer does not provide the necessary cooperation, does not provide it in a timely manner, or does not provide it in the agreed manner, the resulting consequences (e.g., delays and additional expenses) shall be borne by the customer. The provisions in section 2.4. of these T&Cs apply in addition.
7.1. All services provided by HAPPY will be remunerated at the prices agreed in the written offer. HAPPY is entitled to demand advance payments. If expenses, travel costs, or costs for external catering and accommodation are incurred and it has been agreed that these will be charged on, these will be invoiced separately.
7.2. HAPPY reserves the right to change prices if the start date agreed for the implementation of the Solution upon conclusion of the contract is delayed by more than three months and during this time the costs to provide the services increase for HAPPY (in particular, as a result of increases in costs for third parties). This shall also apply if HAPPY cannot reasonably be expected to fulfil the contract at the agreed price due to rising costs, as well as in the event of typographical, printing or calculation errors, or other errors in the price calculation.
7.3. The value-added tax that is applicable on the day of invoicing shall be added to all prices.
7.4. Unless otherwise stipulated in the contract, payments are due without deduction within 14 calendar days of the invoice date. In any case, the invoice amount must be settled before the commencement of the HAPPY Solution, otherwise there can be no assumption of risk. If no justified objections are raised against the invoice in writing by the due date, the invoice shall be deemed approved.
7.5. Remuneration is to be paid in accordance with the agreement and on time. If the customer enters into default of payment according to the statutory regulations, HAPPY may demand default interest of 8% above the valid base interest rate. In the event of late payment, HAPPY reserves the right to postpone the further provision of services until full payment of the outstanding amounts and to withdraw from the contract, after a reasonable period set by HAPPY, against billing of the compensation for expenses listed in the offer. The terms and conditions under section 15.1. and 15.4. apply in addition.
7.6. Timely receipt of the agreed remuneration is a condition for any kind of risk assumption within the Solutions by HAPPY and its reinsurers, as well as for any claim for payment on the part of the customer against HAPPY.
7.7. HAPPY generally charges its Solutions at a fixed price, which does not allow for any recalculation or reimbursement. If Solutions deviating from the standard are desired by the customer, estimated prices will be calculated for this. These estimated prices for services at cost that are stated in the offer are for guidance only and are not binding. The quantity estimates underlying such an estimate are based on an evaluation of the scope of services that is carried out to the best of our knowledge. If, in the course of providing the service, HAPPY determines that the quantity estimates are exceeded by more than 20%, it will notify the customer of this immediately. Until the customer’s written consent is provided, HAPPY will not exceed the quantity estimates on which the estimated price is based.
7.8. If the workload is more than 20% above the estimates at the time of conclusion of the contract, the customer is obliged to increase the original remuneration for HAPPY appropriately if the remuneration is based on a fixed price, or has a maximum limit. This shall also apply if one of the service assumptions or price assumptions (e.g., remuneration for services provided by third parties) proves to be more than insignificantly incorrect over the course of the service being provided and this is not the responsibility of HAPPY.
7.9. The customer is responsible for any income tax and VAT to be paid on the profits. If HAPPY purchases and ships prizes for the competition, this is always done on behalf of and for the account of the customer. HAPPY shall charge the customer for the prizes, plus VAT, and shall claim input tax from the tax authorities. The customer must check (with its tax advisor) whether it is entitled to also claim input tax for the calculated profits. It must also check whether it has to pay tax on the non-cash benefit (in particular, in the case of B2B competitions).
If the individual prices of the prizes are not shown on HAPPY’S invoice, HAPPY will provide a list of the net purchase prices upon request.
8.1. The customer is obliged to carefully check the content and accuracy of the deliveries and services received.
8.2. If the deliveries and services essentially meet the requirements of the contract, the customer must immediately declare acceptance of the service to HAPPY in writing.
8.3. If the customer does not make a declaration within a period of 14 calendar days following receipt of the deliveries and services, the deliveries and services shall be deemed to have been accepted.
8.4. The above provision in section 8.3. applies mutatis mutandis if the customer uses the deliveries and services.
9.1. HAPPY is liable for ensuring that its services and deliveries are free of industrial property rights and copyrights of third parties. The customer will not recognise any claims from third parties. HAPPY will, at its option, defend or satisfy the claim or exchange the affected services for equivalent services in accordance with the contractual provisions, if this is reasonable for the customer.
9.2. In the event that the infringement of intellectual property rights or copyrights is asserted against the customer or HAPPY by third parties, the parties must in each case notify each other of this immediately in writing.
9.3. If a remedy within the meaning of the above provision is not possible with reasonable effort, HAPPY will reimburse the customer the price paid, taking into account a reasonable usage fee. In this case, the customer is obliged to return the deliveries and services to HAPPY – as far as possible. Further claims of the customer are excluded. The provisions in section 10 and 11 of these T&Cs apply in addition.
9.4. All publications are made on behalf of the customer. The customer is solely responsible for their content. The customer is also solely responsible for links (so-called hyperlinks) emanating from its website and/or its e-mails, as well as its registered domain names. The customer is advised that linking to websites with moral and illegal content, or the registration of protected names, can lead to the violation of third-party rights.
9.5. The customer undertakes not to violate the law through the content of its website, nor through hyperlinks or other designs, in particular, to refrain from violations of criminal law, copyright, trademark law, competition law and personal rights. HAPPY is entitled to reject or delete content if there is a suspicion of illegal content. This may arise, in particular, from official or police information and investigations or from a warning from a third party. The same applies if HAPPY becomes aware of the relevant content as part of its own activities.
9.6. In the event of a violation, the customer undertakes to immediately remedy the breach, irrespective of the existence of any fault, and to compensate HAPPY for any resulting damage, as well as to indemnify HAPPY from and against any resulting claims for damages and reimbursement of expenses by third parties.
10.1 There is no entitlement to a warranty for services.
10.2. Insofar as HAPPY provides contractual services, the following provisions apply to its liability for defects:
10.2.1. For a period of 12 months from delivery or acceptance of the deliveries and services by the customer (transfer of risk), HAPPY is liable for ensuring that the deliveries and services are free of defects.
10.2.2. If the supplementary performance fails definitively after several attempts despite a reasonable limitation period set in writing, the customer has the right to reduce the remuneration appropriately or to cancel the contract. If only individual parts of the deliveries and services are affected and the remaining parts of the deliveries and services can be used by the customer, the right of cancellation is limited in each case to the defective parts of the deliveries and services. The provisions in section 11 (Liability) apply to further claims.
10.2.3. If, during the review of the notification of defects, it is found that the defects are not the responsibility of HAPPY, the customer shall reimburse HAPPY for the time spent and the costs incurred at the applicable or reasonable rates.
10.2.4. HAPPY is only obliged to provide a repair or replacement if the customer has fulfilled its contractual obligations in full.
10.2.5. The customer must provide notification in writing of any defects in the delivered service without delay, but no later than one week after handover. Defects that it is not possible to discover even upon careful inspection during this period must be reported in writing without delay after they are discovered.
10.2.6. If the customer does not follow operating instructions or makes unauthorised changes to the delivered service, any and all liability for defects shall cease to apply. Likewise, HAPPY assumes no liability for loss of function or limitations of the Internet and intranet sites it creates as a result of interventions by third parties, such as hacker attacks, virus attacks, and other data manipulation.
10.2.7. HAPPY is not responsible for ensuring that certain successes or results can be achieved through the use of the services it has created.
10.2.8. Different web browsers are used to retrieve content on the Internet and intranet. Furthermore, very different types of hardware are used for this purpose, based on different operating systems. In the absence of uniform standards, the appearance of the Internet and intranet sites may deviate in individual cases from the usual appearance determined by the parties, particularly with regard to colour rendering and due to the different sizes of screens used by the users. HAPPY cannot accept any liability for such isolated deviations.
11.1. Unless otherwise provided for in these T&Cs, HAPPY shall only be liable for damages and reimbursement of futile expenses due to breaches of contractual or non-contractual obligations
11.1.1. without limitation for damages that are caused by intent or gross negligence of the legal representatives, executive employees or vicarious agents of HAPPY due to serious organisational fault, due to injury to life, limb or health, or in the context of the assumption of a guarantee or procurement risk; and
11.1.2. with limitation only for damages that are typical and foreseeable based on the contractually stipulated use of HAPPY’s services and for damages resulting from culpable violation of essential contractual obligations, insofar as there is no intent or gross negligence on the part of the legal representatives, executive employees or vicarious agents of HAPPY, and there is no liability due to injury to life, limb or health or the assumption of a guarantee or a procurement risk. In these cases, HAPPY’s liability is limited to the typical and foreseeable damage.
11.2. Liability for unforeseeable and indirect damage, loss of profit, missing sales and access to participants/customers/interested parties, as well as savings and financial losses due to claims by third parties, is excluded in the event of simple negligence.
11.3. The above provision shall not result in a shift of the burden of proof to the customer’s disadvantage.
11.4. The exclusions of or restrictions on liability do not apply to strict liability prescribed by law, in particular, under the Product Liability Act.
11.5. The exclusions of or restrictions on liability also apply to the personal liability of the employees, staff members, representatives, organs and vicarious agents of HAPPY.
11.6. In addition, HAPPY is only liable with respect to the retrieval of data if the customer has ensured that this data can be reproduced with reasonable effort from databases kept available in machine-readable form. This limitation of liability does not apply in the event of intent and gross negligence on the part of the legal representatives, executive employees or vicarious agents of HAPPY or in the event of the assumption of a guarantee or a procurement risk.
12.1. Force majeure, industrial disputes, riots, official measures, technical failures (in particular, IT and the Internet), the absence of deliveries from suppliers and other unforeseeable, unavoidable and serious events release the contracting parties from their performance obligations for the duration of the disruption and to the extent of its effect. This also applies if these events occur at a time when the affected contractual partner is in default. The contracting parties shall, within reasonable bounds, promptly provide all necessary information and adapt their obligations to the changed circumstances in good faith.
12.2. If a Solution cannot be implemented or completed due to new legal provisions or current jurisprudence that were or was not known when the contract was concluded and HAPPY is thus unable to provide the contractually agreed services, HAPPY and the customer are entitled to withdraw from the contract. In this case, the services provided by HAPPY up until that point must be compensated by the customer as follows: up to 15 days before commencement of the Solution, 30%; 14 days to 1 day before commencement of the solution, 50%; and after commencement of the Solution 100% of the contractually agreed costs, even if participation is still outstanding.
Both contracting parties are entitled to point out the collaboration with the other contracting party in publications, e.g., in the context of company brochures, etc. HAPPY is also entitled to use image and text documentation about the collaboration with the customer in the context of public relations.
14.1. The customer shall ensure that, without the prior written consent of HAPPY, the offer made to it does not become known to third parties, either in whole or in part, and also not in an edited version. HAPPY and the customer undertake to treat any information about the other party and its products that has become known to them during the negotiation and execution of the contract and that is either marked as confidential or whose confidentiality is apparent from the circumstances as strictly confidential and not to pass it on, even beyond the term of the contract. In particular, the content and conditions of the offer and the contract are also confidential. The customer will only communicate such information to its employees and vicarious agents to the extent that this is necessary in order to execute the contract, and it shall oblige the aforementioned to maintain confidentiality.
14.2. In accordance with the GDPR, it is pointed out that the customer data and usage data are stored in machine-readable form and are processed within the scope of the purpose of the contract. For the storage and processing of data, HAPPY shall submit an agreement for commissioned data processing in accordance with the GDPR, which must be signed by the customer and HAPPY.
14.3. HAPPY has signed the Declaration of Commitment from the DDV on “Commissioned Data Processing and Data Handling”.
15.1 If the customer cancels the order placed with HAPPY, or if the customer does not fulfil its obligation to cooperate when concluding the contract for assumption of liability, or if the customer is in default of payment, HAPPY has the right to terminate the contract with the customer without notice after the first reminder has been sent and expired.
15.2. If, after the conclusion of the contract, HAPPY becomes aware of circumstances in which the customer’s creditworthiness appears doubtful and the timely fulfilment of payment obligations by the customer is significantly endangered, HAPPY is entitled to refuse to fulfil its own performance obligations under the contract until the customer has fulfilled its payment obligations or has provided security for all of HAPPY’s claims for payment against the customer. If the customer does not compensate the claims for payment in return for performance by HAPPY within the set period, or if the customer does not provide the security within a reasonable period set by HAPPY, HAPPY shall be entitled to withdraw from the contract once the period has expired.
15.3. HAPPY has a right of termination without previously setting a grace period if, in particular, the customer provides HAPPY with incorrect information about its creditworthiness.
15.4. In these cases, HAPPY is entitled to a lump-sum, immediately due claim for damages in the amount of 30% of the contractually agreed remuneration. HAPPY reserves the right to prove that the damages are higher. The customer likewise has the right to prove that HAPPY has incurred no, or a lower level of, damage.
15.5. Special circumstances such as force majeure that make delivery significantly more difficult or impossible for HAPPY – in particular, strikes, lockouts, official orders, technical failure – and last longer than one month entitle the customer to withdraw from the contract after setting a reasonable grace period with a view to the part that has not yet been fulfilled.
15.6. The right of the Parties to terminate for cause remains unaffected.
16.1. The customer can only offset claims, or rely on a right of retention to such claims, that have been recognised by HAPPY or are legally established. Payments by the customer are always settled in accordance with § § 366 (2) and 367 of the German Civil Code (BGB).
16.2. The customer may only assign claims arising from this contract to third parties with the prior written consent of HAPPY.
16.3. Unless otherwise stipulated in the contract, declarations by the contracting parties shall be made to the address details specified in the contract. Both contracting parties undertake to inform the other contracting party immediately of any changes to the address details. A legal act shall be deemed to have taken place if it has been demonstrably sent by a contractual partner to the specified or an updated address/fax/email and could not be received there as the address/fax number/email in question had changed in the meantime and no notification had been made.
16.4. Any oral ancillary agreements are invalid. Deviating or supplementary conditions, as well as additions to these terms and conditions, including this written form clause, shall only apply if they are confirmed in writing by both contracting parties.
16.5. If the customer is a merchant or a legal entity under public law or a special fund under public law, the place of jurisdiction for all disputes arising from or in connection with this contract is the registered office of HAPPY. The same applies to the place of performance, unless the contracting parties have expressly agreed otherwise. However, HAPPY may also sue in any other court of competent jurisdiction.
16.6. The law of the Federal Republic of Germany applies – even in the case of contracts with foreign customers – to the exclusion of the United Nations Convention on Contracts for the International Sale of Goods (CISG).
16.7. Should any provision of these General Terms and Conditions of Business be legally invalid, the remainder of the contract shall remain in force. The customer and HAPPY undertake to replace any ineffective provisions with legally permissible provisions that come as close as possible to them in economic terms. The same applies in the event of any omission in the contract.

HAPPY Marketing Solutions AG, nachfolgend HAPPY genannt, gibt unter der Marke »MEINE HAPPYBOXX®« verschiedene Gewinnspielboxen mit Gewinnspielangeboten zu saisonalen Anlässen und bestimmten Themen für Unternehmer*) heraus. An diesen Gewinnspielen können sich Partner einbuchen, die dann ein von HAPPY organisiertes Gemeinschafts-Gewinnspiel veranstalten.
Die Gewinnspielboxen sind ein Full-Service-Angebot mit allen Drucksachen, einer Landingpage zur Teilnahme sowie Teilnahme- und Gewinn-Management und- je nach Beauftragung – auch mit den Gewinnen bzw. abgesicherten Gewinnplänen. Die Gewinnspielboxen werden auf den jeweiligen Partner personalisiert.
Für die entgeltliche Überlassung der Werbemittel in »MEINE HAPPYBOXX®« verbunden mit der Nutzung der Leistungen der in »MEINE HAPPYBOXX®« beworbenen Gewinnspiele für den gebuchten Zeitraum, soweit nicht schriftlich etwas anderes vereinbart ist. Abweichende Regelungen des Kunden werden nicht Vertragsinhalt, auch wenn im Rahmen der Bestellung darauf hingewiesen wird.
Die Werbemittel umfassen die
a) im Angebot näher beschriebenen Drucksachen zur Ankündigung des Gewinnspiels,
b) einen Internetauftritt (Landingpage) unter der Domain
> aktionsname.gewinnwelt.de oder
> aktionsname.gewinnt.de oder
> aktionsname.machtgewinner.de
zur Teilnahme am Gewinnspiel,
c) die (codierten) Teilnahmeflyer,
d) rechtskonforme Teilnahmebedingungen und Datenschutzbestimmungen,
e) Ziehungs-Info-E-Mails nach jeder Ziehung an alle Teilnehmer.
Die Gewinnspiel-Leistungen umfassen auch
f) die Bereitstellung von Verlosungs-Gewinnen und/oder abgesicherter Gewinne gemäß Gewinnplan-Buchung sowie
g) das Teilnahme- und Gewinn-Management.
Details zu den Werbemitteln, der Landingpage und den Gewinnspiel-Leistungen sind den jeweiligen Angeboten zu entnehmen.
2.1. Unter der Marke »MEINE HAPPYBOXX®« organisiert HAPPY für Kunden (Partner) Gemeinschaftsgewinnspiele und wird dabei Co-Veranstalter der teilnehmenden Partner. Die Gewinnspiele erscheinen mit dem Impressum von HAPPY.
2.2 Die Darstellung von »MEINE HAPPY BOXX®« im Internet ist kein rechtlich bindendes Angebot. Ein Angebot wird vom Kunden abgegeben, wenn dieser seinen Bestellvorgang durch die Bereitstellung seines Logos und seiner Firmenanschrift für den Eindruck in die Drucksachen und den Upload zum Internetauftritt abgeschlossen hat. Damit ein Vertragsschluss zustande kommt, muss die HAPPY das Angebot des Kunden annehmen.
2.3 Mit Vertragsschluss gewährt HAPPY ein nicht ausschließliches, nicht übertragbares und zeitlich befristetes Nutzungsrecht an der Gewinnspiel-Lösung in der Konfiguration (Laufzeit, Gewinnplan, Gewinnsumme), die mit der jeweiligen Gewinnspielbox von »MEINE HAPPYBOXX®« gebucht wurde. Das Eigentum und die Urheberrechte gehen nicht auf den Kunden über. Alle Rechte, insbesondere Vervielfältigungs-, Bearbeitungs-, und Verwertungsrechte, sind HAPPY vorbehalten.
2.4. HAPPY steht nicht dafür ein, dass durch die Nutzung der von ihr erstellten Werbemittel und Leistungen bestimmte Erfolge oder Ergebnisse erzielt werden können. HAPPY gibt insbesondere keine Garantie auf Gewinne beim Gewinnspiel und für die Wirksamkeit der »MEINE HAPPY BOXX®« bzgl. Leadgenerierung, Absatzförderung, Promotionerfolge etc. Falls beim Gewinnspiel keine Gewinne erzielt werden bzw. das erwartete Teilnahmeergebnis (Anzahl Teilnehmer, Leads und Empfehlungen, Produktabsatz, Besucherfrequenz, Newslettereintragungen, Performancewerte auf Emails etc.) nicht eintritt, besteht kein Anspruch auf Schadensersatz und/oder Rückererstattung bzw. Rechnungskürzung.
3.1. Die ausgewiesenen Preise für »MEINE HAPPY BOXX®« und Zusatzleistungen verstehen sich zzgl. Mehrwertsteuer. HAPPY stellt eine Rechnung mit Ausweis der jeweils gültigen MwSt. aus. Der Kunde verpflichtet sich, die Vergütung in der Höhe entsprechend der von ihm ausgewählten Konfiguration innerhalb von 10 Tagen nach Zugang der Rechnung zu bezahlen. Sofern andere Zahlungsziele angeboten werden, sind diese dem Angebot und der Rechnung zu entnehmen.
3.2. Für bestimmte von HAPPY mit »MEINE HAPPY BOXXâ®veranstalteten Gemeinschaftsgewinnspiele ist eine monatliche Nutzungsgebühr für die vereinbarte Laufzeit zu zahlen, die jeweils am 15. des Vormonats mittels Lastschrift vom Bankkonto des Kunden eingezogen wird. Mit der ersten Nutzungsgebühr werden Versandkosten gemäß Angebot eingezogen. Eine Sofortzahlung für die gesamte Nutzungszeit ist möglich.
3.3. Als Zahlungsmittel wird SEPA-Lastschrift von einem deutschen Bankkonto angeboten. Hierfür muss der Kunde nach der Bestellung ein Formular zur Lastschriftermächtigung ausfüllen. Individuell kann die Bezahlung per Rechnung vereinbart werden.
3.4. Eine Freischaltung des Gewinnspiels für die Teilnehmer erfolgt erst nach vollständiger Bezahlung.
3.5. Bei nicht fristgerechter Bezahlung und/oder nicht eingelöster (Folge-) Lastschriften behält sich HAPPY das Recht vor, die weitere Leistungserbringung durch Deaktivierung der Freischaltung bis zur vollständigen Bezahlung der Außenstände zurückzustellen. Ist ein Kunde mit 2 Nutzungsgebühren im Rückstand, ist die Nutzungsgebühr für die gesamte Laufzeit sofort fällig.
3.6. Für jede nicht eingelöste Lastschrift werden 25,00 € inkl. MwSt. Kostenersatz für die Bearbeitung und die Bankgebühren berechnet.
4.1. Die Vertragslaufzeit (Freischaltung des Gewinnspiels) beginnt in der Regel mit dem 1. des vom Kunden ausgewählten Monats und endet einen Monat nach Ablauf des Gewinnspiels entsprechend der gewählten Laufzeit.
4.2. Während der vertraglichen Laufzeit ist für beide Vertragsparteien die ordentliche Kündigung ausgeschlossen.
4.3. Die Kündigung aus wichtigem Grund bleibt für beide Vertragsparteien unberührt. HAPPY behält sich insbesondere ein Kündigungsrecht aus wichtigem Grund dann vor, wenn unter falschem Namen oder falscher Identität eine »MEINE HAPPY BOXX®« bestellt wurde, wenn vom Kunden Inhalte für den Eindruck geliefert wurden, die gegen geltendes Recht verstoßen oder wenn über das Vermögen des Kunden ein Insolvenzverfahren eröffnet wird bzw. der Kunde einen Antrag auf Insolvenzeröffnung gestellt hat.
5.1. Da die Werbemittel für »MEINE HAPPY BOXX®« individuell gefertigt bzw. gedruckt werden, ist eine Rückgabe bzw. ein Umtausch generell ausgeschlossen, es sei denn, der Druck ist fehlerhaft und durch HAPPY verschuldet.
5.2. Mängel sind unverzüglich, spätestens jedoch innerhalb einer Woche nach Übergabe, schriftlich und unter Beifügung der bemängelten Werbemittel sowie Beschreibung der Mängelrüge anzuzeigen. Stellt sich bei der Überprüfung der Mängelanzeige heraus, dass die Mängel nicht von HAPPY zu vertreten sind, wird der Kunde den Zeitaufwand und die angefallenen Kosten HAPPY zu den jeweils gültigen bzw. angemessenen Sätzen vergüten.
5.3. Liefert der Kunde falsche Druckdaten, so ist die fehlerhafte »MEINE HAPPY BOXX®« abzunehmen und zu bezahlen. Der erforderliche Neudruck erfolgt auf Rechnung des Kunden.
5.4. Mängelrügen wegen angeblich schlechter Papier- und/oder Druckqualität sind ausgeschlossen.
5.5. Ist die Mängelrüge berechtigt, liefert HAPPY innerhalb einer angemessenen Frist kostenlosen Ersatz. Der Kunde kann als Nacherfüllung wahlweise die Beseitigung des Mangels oder die Zurverfügungstellung einer neuen »MEINE HAPPY BOXX®« verlangen. Das Wahlrecht des Kunden ist jedoch ausgeschlossen, sofern die gewählte Art der Nacherfüllung unmöglich ist oder nur mit unverhältnismäßigen Kosten möglich ist.
5.6. Ist HAPPY aus Gründen unter 5.5. zur Nacherfüllung nicht bereit oder nicht in der Lage oder verzögert sich diese in unangemessener Weise aus Gründen, die HAPPY zu vertreten hat oder schlägt in sonstiger Weise die Nacherfüllung fehl, so ist der Kunde im Rahmen der gesetzlichen Vorschriften berechtigt, von seinem gesetzlichen Rücktritts- oder Minderungs- und Schadensersatzrecht Gebrauch zu machen.
5.7. Für Dienstleistungen als Bestandteil von »MEINE HAPPY BOXX®« besteht kein Anspruch auf Mängelhaftung.
6.1. Soweit nicht in diesen Bedingungen etwas anderes bestimmt ist, haftet HAPPY im Rahmen der gesetzlichen Vorschriften auf Schadensersatz und Ersatz der vergeblichen Aufwendungen wegen der Verletzung vertraglicher oder außervertraglicher Pflichten
6.1.1. unbeschränkt nur für Schäden, die durch Vorsatz oder grobe Fahrlässigkeit der gesetzlichen Vertreter, leitenden Angestellten oder Erfüllungsgehilfen von HAPPY durch schwerwiegendes Organisationsverschulden, durch die Verletzung des Lebens, des Körpers oder der Gesundheit bzw. im Rahmen der Übernahme einer Garantie oder eines Beschaffungsrisikos verursacht wurden,
6.1.2. beschränkt nur für Schäden, die aufgrund der vertraglich vorgegebenen Verwendung der Leistungen von HAPPY typisch und vorhersehbar sind, für Schäden aus schuldhafter Verletzung wesentlicher Vertragspflichten, soweit nicht Vorsatz oder grobe Fahrlässigkeit der gesetzlichen Vertreter, leitenden Angestellten oder Erfüllungsgehilfen von der HAPPY GmbH vorliegt oder wegen der Verletzung des Lebens, des Körpers oder der Gesundheit oder der Übernahme einer Garantie oder eines Beschaffungsrisikos gehaftet wird. Die Haftung von HAPPY ist in diesen Fällen beschränkt auf den vertragstypischen und vorhersehbaren Schaden.
6.2. Eine Haftung für unvorhersehbare und mittelbare Schäden, entgangenen Gewinn, ausgebliebene Umsätze und Teilnehmer-/Kunden-/Interessentenzugänge sowie Einsparungen und Vermögensschäden wegen Ansprüchen Dritter ist im Falle einfacher Fahrlässigkeit ausgeschlossen.
6.3 Der Kunde hat das Recht, die von HAPPY zur Verfügung gestellten Muster-Teilnahmebedingungen auf der Website aktionsname.gewinnwelt.defür seine Gewinnspielankündigung zu nutzen. Für Inhalte, die vom Kunden selbst bereitgestellt werden, ist HAPPY nicht verantwortlich. Insbesondere ist HAPPY nicht verpflichtet, die Inhalte auf mögliche Rechtsverstöße zu überprüfen. Werden Dritte durch diese Inhalte verletzt, haftet der Kunde.
6.4. HAPPY stellt den Kunden von Gewinnansprüchen der Teilnehmer am Gewinnspiel von »MEINE HAPPY BOXX®« frei, sofern das Gewinnspielbox-Angebot die Gewinne und/oder die Gewinnabsicherung beinhaltet und der Kunde das Gewinnspiel wie vertraglich vereinbart durchführt, keine werblichen Aussagen verwendet werden, die nach BGB § 661a als Gewinnzusage zu verstehen sind, kein Einsatz für die Teilnahme verlangt wird und die von HAPPY zur Verfügung gestellten Muster-Teilnahmebedingungen unverändert übernommen hat.
6.5. HAPPY sichert zu, dass die Gewinnspiele unter der von ihr vertriebenen Marke »MEINE HAPPY BOXX®« nach deutschem Recht grundsätzlich zulässig sind und insbesondere kein genehmigungspflichtiges Glücksspiel darstellen. Die Teilnahme daran ist grundsätzlich kostenlos. Das von HAPPY entrichtete Absicherungsentgelt an den Rückversicherer ist nicht als Einsatz zu verstehen. Ob die Gewinnspiele im Speziellen für den Kunden, die angesprochene Zielgruppe bzw. seine Branche zulässig sind, obliegt der Prüfungspflicht des Kunden.
6.6. Sofern bei der Teilnahme am Gewinnspiel eine Werbeerlaubnis mit Double-Optin vom Teilnehmer eingeholt wird, übernimmt HAPPY keine Garantie für die Rechtskonformität.
6.7. Ansprüche nach dem Produkthaftungsgesetz bleiben unberührt.
*) BGB § 14 Unternehmer
(1) Unternehmer ist eine natürliche oder juristische Person oder eine rechtsfähige Personengesellschaft, die bei Abschluss eines Rechtsgeschäfts in Ausübung ihrer gewerblichen oder selbständigen beruflichen Tätigkeit handelt.
(2) Eine rechtsfähige Personengesellschaft ist eine Personengesellschaft, die mit der Fähigkeit ausgestattet ist, Rechte zu erwerben und Verbindlichkeiten einzugehen.
